3.1 Intellectual Property and Asset Assignment Agreement

INTELLECTUAL PROPERTY AND ASSET ASSIGNMENT AGREEMENT

This Agreement is entered into on October 12, 2025, between Rick Xaver (“Assignor”) and Scootercam Worldwide LLC, a Michigan limited liability company (“Assignee”).

1. Background

Assignor is the founder and sole Member of Scootercam Worldwide LLC and has developed, owned, and maintained certain intellectual property, domain names, and equipment related to Scootercam.net.
Assignor wishes to transfer all rights, title, and interest in the following assets to the Company.

2. Assigned Assets

The following assets are hereby assigned to Scootercam Worldwide LLC:

A. Intellectual Property

  • The domain name scootercam.net
  • Website content, code, and all related data files
  • Trademarks, brand names, and logos used under the name Scootercam
  • Any copyrights, creative materials, and documentation associated with Scootercam operations

B. Physical Equipment

  • Two (2) camera units used for video capture and field streaming
  • Raspberry Pi controllers associated with Scootercam hardware
  • All related components, wiring, mounts, and accessories used in field deployment and recording operations

3. Consideration

The assets are transferred in exchange for nominal consideration of $1.00 and other good and valuable consideration, the receipt and sufficiency of which are acknowledged by both parties.

4. Representations and Warranties

Assignor represents that:

  • They are the lawful owner of the assets listed above.
  • The assets are free and clear of liens or encumbrances.
  • Assignor has full authority to transfer ownership to the LLC.

5. Effective Date

This transfer shall be effective as of October 12, 2025, and from that date forward all ownership rights and associated goodwill shall belong exclusively to Scootercam Worldwide LLC.

6. Further Actions

Assignor agrees to execute any additional documents necessary to perfect the Company’s ownership of the transferred assets, including domain registrar updates and copyright/trademark registrations.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the date first written above.
