2.1 INITIAL ORGANIZATIONAL RESOLUTION

Initial Organizational Resolution

of Scootercam Worldwide LLC
Adopted October 12, 2025

The undersigned, being the sole Member of Scootercam Worldwide LLC, a Michigan limited liability company (the “Company”), hereby adopts the following resolutions and actions as of the date above.

WHEREAS:

The Member has filed Articles of Organization with the State of Michigan forming Scootercam Worldwide LLC, and desires to formally organize the Company and adopt certain governing actions.

RESOLVED THAT:

  1. Adoption of Operating Agreement
    The Operating Agreement of Scootercam Worldwide LLC, dated October 12, 2025, is hereby adopted and approved as the governing document of the Company.
  2. Principal Office and Registered Agent
    The Company’s registered office shall be:
    1952 Lake Michigan Drive, Fennville, MI 49408.
  3. Management
    The Company shall be member-managed, and Rick Xaver is hereby designated as the sole Member and Manager with full authority to act on behalf of the Company.
  4. Bank Account Authorization
    The Manager is authorized to open one or more bank accounts in the name of the Company, designate authorized signatories, and execute related financial documents.
  5. Tax Identification
    The Manager is authorized to obtain a federal Employer Identification Number (EIN) from the IRS and any other tax registrations as necessary.
  6. Intellectual Property and Asset Transfer
    The Company hereby accepts the transfer of intellectual property and physical assets from Rick Xaver, as detailed in the Intellectual Property and Asset Assignment Agreement executed concurrently with this resolution.
  7. Books and Records
    The Manager shall establish proper accounting records and maintain all organizational documents at the principal office.
  8. Ratification
    Any actions taken prior to the date of these resolutions by the Member in furtherance of the Company’s formation or business are hereby ratified and approved in all respects.

IN WITNESS WHEREOF, the undersigned has executed this Initial Organizational Resolution as of the date first written above.
