Amendment to Operating Agreement – Scootercam Worldwide LLC
Section X. Transfer of Membership Interest Upon Death
1. Designation of Successor.
The sole Member, Rick Xaver, hereby designates Jessica Burks Chase, of 3127 Dallas Ct, Denver, CO 80210, as the Successor Member of Scootercam Worldwide LLC.
2. Transfer on Death.
Upon the death of the Member, all right, title, and interest in Scootercam Worldwide LLC, including all economic, managerial, and governance rights, shall automatically transfer to the Successor Member. Such transfer shall be effective immediately upon presentation of a certified copy of the Member’s death certificate, and the Successor Member shall thereupon become the sole Member and Manager of the Company without further action required by any party.
3. No Rights Prior to Death.
Prior to the Member’s death, the Successor Member shall have no ownership, voting, managerial, or distribution rights, and shall not be considered a Member of the Company for any purpose.
4. Acceptance of Membership.
The Successor Member hereby agrees to accept membership in the Company only upon the death of the current Member and to be bound by this Operating Agreement and any amendments then in effect.
5. Intent to Avoid Probate.
This provision is intended to constitute a non-probate transfer of the Member’s ownership interest in accordance with the Michigan Limited Liability Company Act (MCL 450.4509) and applicable Michigan law. The Member intends that this transfer take effect automatically and immediately upon death.
6. Severability.
If any provision of this section is determined to be invalid or unenforceable under Michigan law, the remaining provisions shall remain in full force and effect to the extent possible to carry out the intent of the Member.
