Background<\/strong><\/h2>\n\n\n\n<p>Assignor is the founder and sole Member of Scootercam Worldwide LLC and has developed, owned, and maintained certain intellectual property, domain names, and equipment related to <em>Scootercam.net<\/em>.<br>Assignor wishes to transfer all rights, title, and interest in the following assets to the Company.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>2. Assigned Assets<\/strong><\/h2>\n\n\n\n<p>The following assets are hereby assigned to Scootercam Worldwide LLC:<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>A. Intellectual Property<\/strong><\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The domain name <strong>scootercam.net<\/strong><\/li>\n\n\n\n<li>Website content, code, and all related data files<\/li>\n\n\n\n<li>Trademarks, brand names, and logos used under the name <em>Scootercam<\/em><\/li>\n\n\n\n<li>Any copyrights, creative materials, and documentation associated with Scootercam operations<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>B. Physical Equipment<\/strong><\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Two (2) camera units<\/strong> used for video capture and field streaming<\/li>\n\n\n\n<li><strong>Raspberry Pi controllers<\/strong> associated with Scootercam hardware<\/li>\n\n\n\n<li><strong>All related components<\/strong>, wiring, mounts, and accessories used in field deployment and recording operations<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>3. Consideration<\/strong><\/h2>\n\n\n\n<p>The assets are transferred in exchange for nominal consideration of <strong>$1.00 and other good and valuable consideration<\/strong>, the receipt and sufficiency of which are acknowledged by both parties.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>4. Representations and Warranties<\/strong><\/h2>\n\n\n\n<p>Assignor represents that:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>They are the lawful owner of the assets listed above.<\/li>\n\n\n\n<li>The assets are free and clear of liens or encumbrances.<\/li>\n\n\n\n<li>Assignor has full authority to transfer ownership to the LLC.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>5. Effective Date<\/strong><\/h2>\n\n\n\n<p>This transfer shall be effective as of <strong>October 12, 2025<\/strong>, and from that date forward all ownership rights and associated goodwill shall belong exclusively to Scootercam Worldwide LLC.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>6.
