The Operating Agreement of Scootercam Worldwide LLC<\/em>, dated October 12, 2025, is hereby adopted and approved as the governing document of the Company.<\/li>\n\n\n\n
The Company\u2019s registered office shall be:
1952 Lake Michigan Drive, Fennville, MI 49408.<\/strong><\/li>\n\n\n\n
The Company shall be member-managed<\/strong>, and Rick Xaver<\/strong> is hereby designated as the sole Member and Manager with full authority to act on behalf of the Company.<\/li>\n\n\n\n
The Manager is authorized to open one or more bank accounts in the name of the Company, designate authorized signatories, and execute related financial documents.<\/li>\n\n\n\n
The Manager is authorized to obtain a federal Employer Identification Number (EIN) from the IRS and any other tax registrations as necessary.<\/li>\n\n\n\n
The Company hereby accepts the transfer of intellectual property and physical assets from Rick Xaver<\/strong>, as detailed in the Intellectual Property and Asset Assignment Agreement<\/em> executed concurrently with this resolution.<\/li>\n\n\n\n
The Manager shall establish proper accounting records and maintain all organizational documents at the principal office.<\/li>\n\n\n\n
Any actions taken prior to the date of these resolutions by the Member in furtherance of the Company\u2019s formation or business are hereby ratified and approved in all respects.<\/li>\n<\/ol>\n\n\n\n
